1. Parties and Acceptance
1.1 These Terms & Conditions (“Terms”) govern your application (“Application”) to become a member (“Member”) of Orchestra Precision Pathology Network LLC, a Delaware limited liability company (“oppn,” “we,” “us,” or “our”).
1.2 By submitting the Application, checking the acceptance box, and clicking “Submit,” you agree to be bound by these Terms and our Privacy Notice and Code of Conduct, each incorporated by reference.
2. Eligibility and Application Review
2.1 Eligibility. Membership is intended for pathology and oncology professionals and related allied health professionals consistent with typical professional society norms in the United States. We may set role- or credential-based criteria.
2.2 Accuracy. You represent that all information and documents you submit (including identification, headshot, licensure/board certifications, and professional qualifications) are true, accurate, current, and complete.
2.3 Verification. You authorize us to verify your credentials, licensure, training, professional standing, disciplinary history (if any), and institutional affiliations, including by contacting licensing boards, credentialing bodies, training institutions, employers, and professional societies. You release such entities and us from liability for responding to lawful verification requests.
2.4 Decisions. Acceptance, deferral, or rejection of Applications is at our sole discretion. We may limit or cap membership numbers or categories.
3. Membership Categories, Dues, and Benefits
3.1 Categories. We may offer categories (e.g., Practicing, Trainee, Allied Health, Retired) with different eligibility, rights, and benefits.
3.2 Dues and Fees. There are no membership dues or fees charged to Members who are pathologists or oncologists. If we introduce paid offerings in the future (e.g., optional events, services, or premium membership tiers), those will be clearly disclosed and will not be a condition of general membership.
3.3 Benefits. Benefits may include educational content, business opportunities for pathologists and oncologists, events, communications, and networking. We may modify benefits at any time; such changes do not create any payment obligation or refund right.
4. Conduct and Professional Standards
4.1 Code of Conduct. You agree to comply with our Code of Conduct, professional and ethical norms in the field of pathology, applicable laws, and institutional policies.
4.2 No Misuse. You will not harass, discriminate, defame, infringe intellectual property, disclose confidential information improperly, or otherwise engage in misconduct in any forum we operate (online or in-person).
4.3 Reporting. You agree to notify us promptly of any material change in your licensure/board status, employment, or disciplinary actions.
5. Use of Name and Directory Listings
5.1 Member Directory. You grant us a license to display your name, credentials, headshot, specialty/subspecialty, location, and professional links (“Directory Information”) in our membership directory and/or on our website.
5.2 Opt-Out. You may opt out of directory display by notifying us as provided in the Privacy Notice (subject to operational constraints).
5.3 Brand Use. You may reference your membership accurately. You may not use our logos, trademarks, or branding without prior written permission and must follow our brand guidelines.
6. Content, Intellectual Property, and Educational Materials
6.1 Your Content. You retain ownership of content you submit and grant us a non-exclusive, worldwide, royalty-free license to use it solely to operate, promote, and improve the network (e.g., processing applications, directory, event materials).
6.2 Our Content. All oppn content (including educational materials) is protected by intellectual-property laws. You may not copy, distribute, or create derivative works except as expressly permitted.
7. Data Privacy and Security
7.1 Privacy Notice. Our collection, use, and sharing of personal data are described in our Privacy Notice available at [link]. By submitting your Application, you acknowledge you have read it.
7.2 Categories of Data. We collect identifiers (e.g., name, contact), professional details (credentials, licensure, training), headshot, and uploaded documentation (evidence of qualifications).
7.3 Document Uploads. You agree to upload only documents you have the right to share, free of malware, and that do not include unnecessary sensitive information (e.g., Social Security Numbers).
7.4 Storage and Processors. We may use reputable third-party processors (e.g., form/database, cloud storage, credential verification services) to process submissions and attachments. We implement reasonable administrative, technical, and physical safeguards; however, no system is perfectly secure.
7.5 Retention. We retain Application data only as long as necessary for review, membership administration, legal/regulatory requirements, and legitimate business needs.
8. Third-Party Services and Links
8.1 Our website and communications may link to third-party sites or tools. We are not responsible for their content, policies, or practices. Your use of third-party services is governed by their terms and privacy policies.
9. Term, Suspension, and Termination
9.1 Term. Membership is annual and automatically renews each year unless otherwise stated or you or we provide notice of non-renewal in accordance with these Terms.
9.2 Suspension/Termination. We may suspend or terminate membership or reject/withdraw an Application if: (a) information is inaccurate, incomplete, or misleading; (b) there is a breach of these Terms or the Code of Conduct; or (c) we reasonably believe continued participation poses risk to members, patients, or oppn.
9.3 Effect. Upon termination, your rights to member-only benefits cease. We may retain Application records as permitted by law.
10. Disclaimers; No Clinical Credentialing
10.1 We are not a clinical credentialing or privileging authority and do not guarantee clinical competence, licensure status, malpractice coverage, or institutional appointment of any Member.
10.2 Membership, directories, or event participation are not endorsements of clinical services or outcomes.
10.3 We provide services “as is” and disclaim warranties to the maximum extent permitted by law.
11. Limitation of Liability
11.1 To the fullest extent permitted by law, oppn and its officers, directors, employees, and agents will not be liable for indirect, incidental, special, consequential, or punitive damages, or lost profits/revenue, arising out of or related to your Application, membership, or use of our services.
11.2 Our aggregate liability to you for any claims will not exceed USD $100.
12. Indemnification
12.1 You agree to indemnify and hold oppn harmless from claims, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your submitted content or documents; (b) your breach of these Terms or the Code of Conduct; or (c) your violation of law or third-party rights.
13. Changes to Terms
13.1 We may update these Terms from time to time. Material changes will be posted on our site with a revised “Last updated” date. Continued use or renewal after changes constitutes acceptance.
14. Governing Law; Dispute Resolution
14.1 These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles.
14.2 Venue. The state and federal courts located in New York County, New York shall have exclusive jurisdiction.
14.3 Before filing suit, the parties will attempt good-faith resolution, including a 30-day informal negotiation period upon written notice.
15. Notices and Contact
15.1 Formal notices and membership correspondence must be sent to membership@oppn.org.
16. Miscellaneous
16.1 Entire Agreement. These Terms, the Privacy Notice, and Code of Conduct constitute the entire agreement regarding the Application and membership.
16.2 Severability. If any provision is found unenforceable, the remaining provisions remain in effect.
16.3 No Assignment. You may not assign your membership or rights without our prior written consent.
16.4 No Waiver. Our failure to enforce a right is not a waiver.
